Terms of sale and platform terms
Governing all trade sales, consignments and title transfers executed through Jewel Box, subject to confirmed seller identity. Jewel Box sells to verified trade counterparties only. These terms are not offered to, and no sale is made to, a consumer.
This text has not been settled by counsel. Statutory references are reasoning from public sources, not legal advice, and several questions bearing on this page remain open. It must not be relied on as final contractual wording.
Jewel Box buys and sells in its own name. Your contract of sale is with us, our invoice discharges a debt owed to us, and we are not acting as an agent for anybody else.
We invoice, we are paid by bank transfer, and we ship. We do not operate a wallet, hold an account balance for you, or place your money in escrow at any point.
The proposed primary remedy for material misdescription is repurchase at the invoiced price, subject to the agreed terms and case assessment. Submitting a complaint does not itself approve or execute a refund.
The platform records carrier booking and handover evidence. Insurance cover, exclusions and limits require separate shipment-specific confirmation with the operator before handover.
1.Who we are
Jewel Box is the trade platform described in these draft terms. Verified legal operator, registration, tax and registered-office details are not yet published here. Confirm the seller identity on the issued invoice before entering into a sale or sending funds.
These terms are offered only to businesses buying for trade purposes. We do not sell to natural persons acting outside their trade or profession, and we operate no consumer checkout.
2.Admission, and why it is not automatic
There is no self-service route to an account. Every counterparty is admitted by a named person at Jewel Box, after we have collected trade licence and incorporation documents, identified the beneficial owners, and screened the entity and those owners against the United Nations Security Council consolidated list and the UAE Local Terrorist List. The decision, the person who made it and their reasons are recorded.
Screening is repeated on a schedule rather than only at onboarding, because a counterparty that is clear today may not be clear later. We may suspend access, decline an order, or end the relationship on the basis of a screening result, and we are not always able to tell you why.
3.Cashless settlement and anti-money-laundering obligations
We operate on a strictly cashless basis. We do not accept banknotes or bearer instruments in any amount or in any circumstances. Settlement is by bank transfer from an account in the name of the buying entity, reconciled against our invoice. We do not accept payment from a third party on your behalf.
As a dealer in precious metals and stones we are subject to reporting obligations under UAE Federal Decree-Law No. 10 of 2025 and Cabinet Resolution No. 134 of 2025. Ministry of Economy guidance requires a report where a transaction with a company reaches or exceeds AED 55,000, whether settled in cash or by wire, and the obligation applies even where our due diligence is complete and nothing about the transaction is unusual. Most of our transactions by value will meet that threshold. Reporting is a routine step in our process, not a signal about you.
A transaction may be held before it executes while a report is made. Where that happens you will be told that the order is under review. We may not be able to tell you more than that.
4.We sell in our own name
Jewel Box is the seller of record on every sale. We buy from or take stock on consignment from our suppliers, and we sell it to you. We are not a marketplace introducing you to a third-party seller, we are not an agent or commissionaire for a supplier, and we do not collect money on anybody's behalf. The contract of sale is between you and us.
Prices follow one published volume discount, the same for every buyer. Every piece is inspected, and inspection is included: buyers pay no inspection fee and no commission. Goods, freight, handling and applicable tax are itemised on the verified invoice before payment.
5.Invoicing and tax
An actual issued commercial invoice must be recorded and verified before payment is requested. Tax treatment and seller identity are checked against the supporting evidence. Automated e-invoice transmission has not been activated.
Applicable origin and warranty statements, including the World Diamond Council System of Warranties where relevant, need confirmation in the agreed documents. Tax treatment is assessed for the goods and your establishment and recorded on the issued invoice.
6.What we sell, described accurately
Rough diamonds. We do not deal in rough diamonds through this platform. Rough stones are governed by the Kimberley Process Certification Scheme and, in the UAE, may enter and leave only through the Dubai Diamond Exchange with the certification that scheme requires. Rough material is blocked from our ordinary flow entirely.
Kimberley Process, and what it does and does not cover. Where a piece contains stones subject to the scheme, the relevant warranty is passed through to you. The scheme addresses the financing of rebel movements through rough diamonds. It does not address state violence, labour conditions or environmental harm, and it does not apply to gold or to coloured stones. We therefore describe what the scheme covers rather than calling material “conflict-free”, which would claim more than the scheme supports.
Laboratory-grown and treated material. We sell both mined and laboratory-grown material, and we sell treated stones. Neither is prohibited and neither is concealed. Every listing carries a structured declaration by its maker of origin, treatment status and metal fineness, and that declaration is reproduced on the certificate and on the invoice. If a declaration is wrong, section 8 applies.
How we word our claims. Measurements are stated with the method and tolerance used to obtain them — for example “fineness 750 by X-ray fluorescence, tolerance ±3 parts per thousand”. Judgements are stated as opinions, formed on the material available using the techniques and equipment in use at the time of examination. We do not describe goods as verified, certified or guaranteed without saying what was tested, by what method, and when.
7.The verification record is a separate document
Each saleable piece carries an Inspection Record governed by its own Inspection Record Terms, which are separate from these terms of sale and carry their own liability regime. The certificate records what was tested, the readings obtained, the instruments used, the inspector and the date. It is a technical record, not a warranty of merchantability and not a valuation.
Inspection records are permanent and append-only. A correction supersedes the earlier version rather than replacing it, and the superseded version remains visible at the certificate's public address. Anyone holding a certificate number may verify it without an account.
8.Inspection, notification and the buy-back remedy
You have an inspection window on delivery. UAE Commercial Transactions Law Article 108 gives a buyer fifteen days to notify an apparent defect and sixty days to bring proceedings on one, and six months in the case of a hidden defect. Article 108(4) permits those periods to be varied by agreement; the periods that apply to your purchase are stated on your invoice and on the despatch note.
Where a piece is materially inconsistent with its Verification Certificate, the proposed primary remedy, subject to agreed terms and assessment, is that we repurchase the piece at the invoiced price, on presentation of the original invoice and the piece in the condition supplied. A complaint records the issue for assessment. It does not itself approve a repurchase or confirm that a refund has been paid.
9.Governing law and forum
These terms and any sale made under them are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have jurisdiction over any dispute arising out of or in connection with them.
Submit an order issue through the authenticated complaints portal. The portal records a reference and shows staff responses. A response deadline or remedy is not confirmed merely by submitting a case.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE UAE LAW, THE TOTAL AGGREGATE LIABILITY OF JEWELBOX ARISING OUT OF OR IN CONNECTION WITH ANY ORDER, SALE, VALUATION, OR CERTIFICATE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE CONTRACTUAL REPURCHASE OF THE APPLICABLE PIECE UNDER THE BUY-BACK REMEDY ENGINE AT ONE HUNDRED PERCENT (100%) OF THE ORIGINAL INVOICE PURCHASE PRICE ACTUALLY RECEIVED BY JEWELBOX. UNDER NO CIRCUMSTANCES SHALL JEWELBOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, LOSS OF ANTICIPATED PROFITS, COMMERCIAL REPUTATION, OR MARKET FLUCTUATIONS.
What this limit never covers, under UAE law: Fraud or fraudulent misrepresentation (الاحتيال والتدليس); Gross negligence (الإهمال الجسيم); Wilful misconduct or intentional harmful act (الخطأ العمدي أو الفعل الضار العمدي); Death or personal injury caused by negligence (الوفاة أو الإصابة الشخصية الناتجة عن الإهمال).
وفقاً للحد الأقصى المسموح به بموجب قوانين دولة الإمارات العربية المتحدة، فإن شرط تحديد المسؤولية القانونية يقضي بأن إجمالي المسؤولية الكلية والقصوى لشركة جول بوكس (Jewelbox) الناشئة عن أي طلبية أو بيع أو تقييم أو شهادة أو ترتبط بها، سواء كانت ناشئة عن مسؤولية عقدية أو تقصيرية (بما فيها الإهمال) أو غير ذلك، تقتصر حصراً وبشكل بات على إعادة الشراء التعاقدي للقطعة محل النزاع وفقاً لآلية إعادة الشراء المعتمدة وبما يعادل مائة بالمائة (100%) من سعر الشراء الأصلي الفعلي المستلم بموجب الفاتورة. ولا تتحمل الشركة تحت أي ظرف من الظروف أي مسؤولية عن أية أضرار غير مباشرة أو تبعية أو خاصة أو جزائية، أو فوات الكسب أو الأرباح المتوقعة أو الإضرار بالشهرة التجارية أو تقلبات الأسعار السوقية.
ما لا يشمله هذا الحد، بموجب قانون دولة الإمارات العربية المتحدة: الاحتيال أو التدليس المتعمد؛ الإهمال الجسيم؛ الخطأ العمدي أو الفعل الضار العمدي؛ الوفاة أو الإصابة الشخصية الناجمة عن الإهمال.
